The Local Edge Marketing Group website (the “Site”) is comprised of various web pages operated by The Local Edge Marketing Group, which can include third-party sites to manage The Local Edge Marketing Group communities. Our products or services are offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). Your use of our products or services constitutes your agreement to all such Terms. Please read these terms carefully, and keep a copy of them for your reference.

No Unlawful or Prohibited Use / Intellectual Property

You are granted a non-exclusive, non-transferable, revocable license to access and use our products or services strictly in accordance with these Terms. As a condition of your use of the Site, you warrant that you will not use the Site for any unlawful or prohibited purpose.

Use of Communication Services

The Site may contain bulletin boards, chat areas, forums, communities, personal web pages, calendars, and other communication facilities (collectively, “Communication Services”). You agree to use Communication Services only to post, send and receive messages and material proper and related to the particular service. Prohibited behavior includes, by way of example and not limitation: defamation, abuse, harassment, uploading harmful files, posting obscene or infringing material, advertising without permission, conducting surveys or pyramid schemes, harvesting personal data of others, or violating any applicable laws.

The Local Edge Marketing Group is not required to monitor Communication Services but reserves the right to review and remove materials at its sole discretion and to terminate access to Communication Services without notice.

Materials Provided or Posted

By posting, uploading, inputting, providing, or submitting Submissions (including feedback and suggestions) to any The Local Edge Marketing Group site or services, you grant The Local Edge Marketing Group, its affiliates and necessary sublicensees permission to use your Submission in connection with operating their Internet businesses, including the rights to copy, distribute, transmit, publicly display, reproduce, edit, translate and reformat your Submission, and to publish your name in connection with your Submission. No compensation will be paid for such use.

International Users

The Service is controlled, operated, and administered by The Local Edge Marketing Group from offices within the USA. If you access the Service from outside the USA, you are responsible for compliance with local laws. You agree not to use The Local Edge Marketing Group Content in any manner prohibited by applicable laws or regulations.

Indemnification

You agree to indemnify, defend, and hold harmless The Local Edge Marketing Group, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities and expenses (including reasonable attorney’s fees) arising out of your use of or inability to use the Site, user postings made by you, your violation of these Terms, or your violation of any rights of a third party or applicable law. The Local Edge Marketing Group may assume exclusive control of the defense of any claim at its own cost.

Arbitration

If parties cannot resolve any dispute regarding these Terms, such dispute shall be resolved by final and binding arbitration under the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association (or similar service selected by the parties) in the location of The Local Edge Marketing Group headquarters at the time of arbitration. The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction. The prevailing party may recover costs and reasonable attorney’s fees. This arbitration agreement survives termination of these Terms.

Class Action Waiver

Any arbitration will be on an individual basis; class arbitrations and class/representative/collective actions are not permitted. Parties may only bring claims in their individual capacity, not as a class member. The arbitrator may not consolidate multiple persons’ claims or preside over representative proceedings.

Liability Disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LOCAL EDGE MARKETING GROUP AND/OR ITS SUPPLIERS PROVIDE SUCH INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE LOCAL EDGE MARKETING GROUP OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES ARISING OUT OF USE OF THE SITE.

Termination / Access Restriction

The Local Edge Marketing Group reserves the right to terminate your access to the Site and related services at any time without notice. This agreement is governed by the laws of the State where The Local Edge Marketing Group is headquartered, and you consent to the exclusive jurisdiction and venue of courts in that state for disputes not subject to arbitration.

Entire Agreement

Unless otherwise specified, these Terms constitute the entire agreement between you and The Local Edge Marketing Group regarding the Site and supersede all prior communications and proposals. A printed version of this agreement shall be admissible in proceedings as other business documents originally generated in printed form. This agreement and related documents are written in English.

Changes to Terms

The Local Edge Marketing Group reserves the right to change the Terms and policies under which products or services are offered. The most current version will supersede prior versions. We encourage you to periodically review the Terms to stay informed of updates. Monthly retainer services are month-to-month with fees locked at initial agreement; The Local Edge Marketing Group may change scope with a minimum one-month notification to the client.
